In executing sell-side transactions our expertise covers each step of the process, including but not limited to:
- Crafting company positioning and selling documents that anticipate buyer needs and preemptively address them
- Developing market strategy, valuation, bid procedures and buyer lists across categories (financial, strategic, existing and emerging consolidators)
- Managing multiple buyer processes, confidentiality agreements, initial bids (IOIs and LOIs), data rooms, site visits and acquisition-focused investigation
- Evaluating bids and financing packages, negotiating with buyers, preparing and assessing terms and documentation including definitive agreements, deal mechanics, closing conditions and other provisions
- Obtaining necessary approvals including shareholder, board and regulatory
- Bringing final bids to close, executing definitive agreements and managing all closing table considerations until the final wire clears
